Board Basics: Legal and Financial
This workshops is an introduction for prospective, new, and experienced Board members to all legal and fiscal aspects of a non-profit Board members responsibilities.
Attorney Carrie Pollak will define and explain in detail the duties imposed by law on members of non-profit boards of directors in New York State, specifically - Duty of care Duty of obedience Duty of loyalty
State Attorneys General and the IRS have become much more active in recent years in ensuring that board members take these duties seriously. New requirements took effect in 2014 and 2015 and Carrie will describe these in detail.
Carries practice focuses on corporate governance. In this session she will Describe the legal and regulatory framework within which non-profit agencies operate Explain the steps agencies must take to secure and retain tax-exempt status List the documentation that every non-profit must maintain Outline the voting rules that determine whether a non-profit agencys actions have legal effect Detail the personal liability that board members incur and how to protect themselves from it Discuss different approaches to minute-taking at Board and Board Committee meetings
Duane Shoen, CPA, Insero & Co. CPAs, LLP, and his staff provide auditing and accounting services to a large percentage of all non-profit agencies in Tompkins County. Duane will show board members with little or no financial background how they can carry out their duty to monitor and improve the financial reporting, internal controls, and fiscal health of their organization.
Duane will review The role of the board vis-à-vis agency fiscal staff The role of the Treasurer How to carry out the boards monitoring and advising role without micromanaging professional staff The two bases of accounting How to understand some of the most significant financial indicators from financial statements and from the agencys tax return (IRS form 990) What to look for in the agency audit or other independent fiscal review How to determine whether internal controls are adequate How to develop adequate internal controls when there are too few staff to segregate duties Hiring of financial staff
